Terms of Service

1. Acceptance of Terms
These Terms of Service (“Terms”) form a binding agreement between NexAI Labs LLP (“NexAI Labs,” “we,” “us,” or “our”) and the business that accesses or uses NexAI Studio (the “Service”), an AI product-photoshoot platform. By creating an account, clicking to accept, or using the Service, you agree to these Terms on behalf of your business. If you do not agree, do not use the Service.
2. Eligibility & Authorized Users
The Service is provided for business use only and is not intended for personal or consumer use. You represent that you are acting on behalf of a business and are authorized to bind it to these Terms. You may permit employees or contractors (“Authorized Users”) to use the Service under your account; you are responsible for their compliance with these Terms. Each user must be at least 18 years old, or the age of majority in their jurisdiction.
3. The Service
NexAI Studio uses artificial intelligence to transform product and product reference images (such as mannequin or flat-lay photography) into studio-quality on-model imagery for use in your catalog and marketplace pages. AI-generated output is produced automatically and may contain inaccuracies, artifacts, or distortions; you are responsible for reviewing and approving each image before you use it. We do not guarantee that generated images will be accepted by, or comply with the policies of, any online marketplace or third-party platform. You remain solely responsible for the accuracy, legality, and compliance of the pages you publish. Features, models, and output quality may change over time as we improve the Service.
4. Accounts & Access
Access to the Service is invitation-based and gated by an allowlist. Sign-in is performed through Google authentication. You are responsible for keeping your account credentials secure and for all activity that occurs under your account and those of your Authorized Users. Notify us promptly of any unauthorized use. We may decline, suspend, or revoke access at our discretion, including where access was granted in error.
5. Customer Content
You retain ownership of the reference images and other materials you upload (“Customer Content”). You grant NexAI Labs a limited, non-exclusive, worldwide license to host, store, process, and transmit your Customer Content solely to provide and operate the Service — including transmitting reference images to third-party AI providers to fulfil your generation requests. You represent and warrant that you own or have all rights necessary to upload and process your Customer Content, and that where an image depicts a real person (including any model or talent), you hold the required consents, model releases, and permissions for its use in AI image generation. We do not use your Customer Content to train AI models.
6. Generated Output
Subject to your compliance with these Terms and payment of applicable fees, NexAI Labs assigns to you the rights it holds in the images generated for you (“Output”), so that you may use them for commercial purposes. Because Output is generated by AI, it may contain inaccuracies or artifacts and is not warranted to be accurate or fit for any particular purpose. You must review Output before use and are responsible for any page or material in which you incorporate it.
7. Payments, Credits & Taxes
The Service runs on prepaid wallet credits. You purchase credits in advance through our payment processor, Razorpay (supporting UPI, cards, and, where you choose, saved cards). Credits are consumed as images are generated or approved, at the rates shown in the Service. Prices and credit costs are stated at the point of purchase and are exclusive of applicable taxes (including GST) unless stated otherwise. Consumed credits are non-refundable. You may request a refund of any unused prepaid balance in writing; we will process eligible refunds through the original payment method. We may change pricing on a going-forward basis with reasonable notice.
8. Acceptable Use
You agree not to use the Service to upload, generate, or distribute content that is unlawful, infringing, defamatory, or deceptive, or that violates the rights of others. In particular, you must not attempt to generate imagery of a real, identifiable person without that person's consent. You may not reverse-engineer, scrape, overload, or circumvent the technical limits of the Service, or use it to build a competing product. We may suspend or terminate accounts that violate these rules.
9. Service Availability
The Service is provided on an “as is” and “as available” basis. It is a pre-release offering, and we do not currently commit to a service-level agreement or uptime guarantee. We may modify, suspend, or discontinue any part of the Service, and we do not warrant that it will be uninterrupted or error-free.
10. Intellectual Property
The Service's software, AI models, branding, and underlying technology are and remain the property of NexAI Labs and its licensors. Except for the rights expressly granted to you in these Terms, no rights are transferred to you.
11. Confidentiality
Each party may receive non-public information of the other in connection with the Service. Each party agrees to use the other's confidential information only to perform under these Terms and to protect it with reasonable care, except where disclosure is required by law.
12. Limitation of Liability
To the maximum extent permitted by law, NexAI Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from or relating to your use of the Service. Our aggregate liability for all claims relating to the Service will not exceed the total fees you paid to us in the three (3) months immediately preceding the event giving rise to the claim.
13. Indemnification
You will defend, indemnify, and hold harmless NexAI Labs from and against any claims, damages, and costs (including reasonable legal fees) arising out of your Customer Content, your use or publication of Output, or your breach of these Terms — including any claim that your Customer Content or its processing infringes a third party's rights or was uploaded without the necessary consents.
14. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. On termination, your right to use the Service ends; provisions that by their nature should survive — including ownership, payment obligations, disclaimers, limitation of liability, and indemnification — will survive.
15. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
16. Governing Law & Jurisdiction
These Terms are governed by the laws of India, without regard to its conflict-of-laws rules. The courts located in Surat, Gujarat, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to any mandatory provisions of applicable law.
